The U.S. Court of Appeals for the 11th Circuit affirmed a preliminary injunction in favor of Mesa Air Group Inc.
Wednesday blocking Delta Air Lines Inc. from terminating a regional service agreement with a subsidiary of the Phoenix company.

The subsidiary, Freedom Airlines, operates 22 50-seat aircraft as Delta Connection. Overall Mesa operates 150 aircraft under agreements with Delta, US Airways Group and United Airlines as well as independently in the Hawaiian Islands as go!

After fuel prices shot up in 2008, Delta tried to buy out the contract inked with Mesa in 2005, but negotiations fell apart, according to the 11th Circuit ruling. At that point Delta sent a letter to Mesa terminating the agreement saying the percentage of flight cancellations exceeded the limit set in the agreement. The court, however, notes that the numbers failed to factor in circumstances and assurances by Delta officials surrounding the addition of flights at the busier and weather-dependent John F. Kennedy International Airport.

“We reaffirm our commitment to offering the very best service to Delta and our Delta Connection passengers,” said Mesa CEO Jonathan Ornstein in a statement Thursday. “We would also like to thank our dedicated employees who have continued to provide outstanding service through this unfortunate case.”

Prior to the preliminary injunction, Mesa had said that the company might have to file for bankruptcy if it lost the
regional contract as Delta service accounted for as much as 20 percent of its annual revenue.


Atlanta-based Delta officials did not immediately respond to a request for comment.

Delta operates a hub at the Cincinnati/Northern Kentucky International Airport.

The income of $1.7 million, or $0.01 per share on a diluted basis, compares to income from continuing operations of $1.8 million, or $0.07 per diluted share for the same period of fiscal 2008.
Pro forma net income for the quarter was $2.3 million or $0.02 per diluted share compared to a net loss of $2.5 million
or $0.09 per diluted share for the same period of fiscal 2008. PHOENIX, Oct. 29 /PRNewswire-FirstCall/ -- MESA AIR GROUP, INC. today announced that United Airlines has exercised its early termination rights for Mesa's operation of 10 Dash-8 turboprop aircraft under Mesa's code-share agreement with United Airlines.
Mesa plans to work with United Airlines on an orderly transition plan, but, in any event, the date of exit from service is expected to be no later than April 30, 2010.

A new deal between Mesa Air and aerospace services company AAR allows the regional to terminate its parts and maintenance contracts without penalty should it dispose of either its Bombardier CRJ200 or Embraer ERJ-145 fleets, a possibility AAR said it was warned about during its fiscal first quarter, which ended Aug. 31.

Yesterday, AviationWeek exclusively reported that Mesa will no longer operate CRJ200s or Bombardier Dash 8-200 turboprops - a total of 36 airframes - for United starting in May of next year, and that Mesa will be unable to meet its capital requirements if it cannot place these aircraft into another revenue-guarantee
contract.


The regional is also battling to retain its contract with Delta, and is currently embroiled in legal action to stop the Atlanta-based carrier from ending Mesa's ERJ-145 operation. Mesa's 50-seat jets, which it also operates for US Airways (10 CRJ200s) and its own Hawaiian operation (five CRJ200s), account for 84 of the 178 aircraft in the company's fleet.

AviationWeek now also has discovered that Mesa, in a note to employees detailing the loss of the two United contracts, said it had stopped ground training while it evaluates its fleet plan and staffing requirements.

Neither AAR nor Mesa responded to calls about the new agreement, which was revealed late Nov. 4, or about the carrier's future operations.

The new arrangement with AAR does relieve Mesa of $6.1 million in long-term debt due to mature in 2023, although this deal cost the operator 15 million shares and an unspecified amount of cash. However, it still leaves the Phoenix-based operator with $15.6 million to pay from that 2023 senior convertible note and it dilutes it outstanding stock further to 175.2 million shares.

Recent trading of Mesa's stock has valued the company's market capitalization at roughly $25 million.

AAR in its own release also noted that it does not expect to increase its holding in Mesa Air, and may even sell down
its current position. But this is to expected, especially as the company in a late September filing of its fiscal first quarter results noted that "[w]e have been informed by Mesa that they are contemplating significantly reducing
or eliminating entirely, their fleet of ERJ-145 and CRJ200 aircraft."

Phoenix-based Mesa Air Group exited Chapter 11 protection Tuesday just under 14 months after it declared bankruptcy.

As was outlined in its plan of reorganization approved by a US bankruptcy court in January ([Vous devez être inscrit et connecté pour voir ce lien]), the regional now has a slimmed down operating fleet of 76 aircraft, reduced from at least 130 including about 50 grounded when it entered Chapter 11 protection ([Vous devez être inscrit et connecté pour voir ce lien]).

MAG said in a statement that through restructuring it eliminated "100 excess aircraft and associated leases and debt" that contributed $700 million in capitalized leases and $50 million in debt toward the deleveraging of MAG's balance sheet.

Chairman and CEO Jonathan Ornstein said, "Today marks a new beginning for Mesa, one that allows the company
to build on its almost 30-year history and reestablish ourselves as one of the world's leading regional airlines."

He noted that "through the restructuring process Mesa is among the first regional airlines to address the risks associated with 50-seat regional jet aircraft which have increasingly fallen out of favor with mainline carriers.

We believe the elimination of exposure related to this fleet provides Mesa with a significant competitive advantage."

MAG has said it will operate "primarily larger 70- and 86-seat regional jet aircraft" going forward.

The restructured company will operate around 450 daily system departures to 94 cities in the US and Mexico primarily under contracts with US Airways and United Airlines.
