BAE Systems & EADS poursuivent, depuis un certain temps, des discussions en vue de fusionner et créer un Mastodonte de la Défense !
De toutes façons d'un point de vue personnel, c'est la reconnaissance de l'inéluctable : la Défense européenne commune (DEC) se fera avec le Royaume Uni, ou pourrait ne pas se faire. (avis personnel).
Le rapprochement entre RR et SNECMA, dans une Joint Venture destinée à développer les moteurs pour les avions de combat, 'du futur', pourrait en être une indication.

J'ai bien noté.EADS, the Airbus and Eurocopter parent, is in talks with defence manufacturer BAE Systems over a possible merger that would create the world's largest aerospace and defence company with an annual turnover of almost $100 billion.
In a joint statement released to the LondonStock Exchange, BAE confirmed that discussions between the two manufacturers were under way.

Mais je pense que cela ne va pas faire peur à Boeing !If the merger goes ahead, the firms' combined annual turnover would be $95.8 billion, based on their 2011 figures, with around $74 billion generated by aerospace operations. This would dwarf EADS's chief rival Boeing, which recorded turnover of $68.7 billion in 2011.
Je suis absolument d'accord.The merger would give EADS a long-sought foothold in the US defence market. Since beginning to shift the centre of gravity of its business stateside in the 2000s, BAE has become one of the Pentagon’s biggest contractors.

BAE Systems shareholders would own 40% and EADS shareholders 60% of the enlarged group, it says. "In addition, subject to receiving appropriate shareholder approvals, the parties envisage issuing special shares in BAE Systems and EADS to each of the French, German and UK governments to replace the existing UK government share in BAE Systems and the stakeholder concert party arrangements in EADS."
Cela est bien normal à mon avis !The parties have also been in talks with a number of governments about the implications of the transaction to "secure and sensitive defence businesses".
The UK Takeover Panel requires one or both parties to announce their intentions by 10 October, although BAE says it intends to request an extension to the deadline if it and EADS are still in discussions at that time.

Mais c'est, depuis 1989, un champ d’expérimentation sur l'impossibilité de cohabiter....
( Bon, ça n'est que mon avis et l'accord de 2009 a peut-être changé un peu tout ça )

Il faut des crises pour que l'Europe avance....Et on ne sait toujours pas ce que "Pepere" veut, il est très fort, dit-on, en tactique politicienne mais il est nul, dit-on, pour le reste....
De tous mes amis qui sont partis ou qui ont regagné leurs pénates de départ, je reçois, comme d'autres, des échos très peu flatteurs sur l'image de la France ailleurs.
Qu'en pense notre ministre de l’écroulement industriel, de la diffamation et autres courants d'air qui ressemblent à des bruits qui courent ?
Hein, M'ssieur A.B, vous en dites quoi, prompt a faire des procès, toujours absent pour faire des excuses ?

Car, du côté de EADS, il s'agit d'une ribambelle d'entités, qui ont été collées les unes aux autres. Et, à la base, il y a des composantes françaises et allemandes qui sont des "Sovereign Companies" . "Entreprises souveraines", dans lesquelles les Gouvernements ont des participations directes et/ou indirectes, avec les "Golden Shares" réciproques (droit de veto, en effet). Déjà, la notion 'faciale' de deux participants fiche le camp vite ! Mais tout cela n'engage que moi.
Et pour BAE, on pourrait dire la même chose ! Sauf, bien entendu, que l'interférence gouvernementale est 'nulle' par rapport aux interférences politiques françaises et allemandes chez EADS. Mais, chez BAE il y a l'aspect "golden share", aussi ! Mais, est-ce qu'on considère BAE comme un seul participant, quand on s'arrête pour réfléchir à BAE Systems UK et BAE USA ?
La position de BAE comme le fournisseur étranger No. 1 du Pentagone est une position de force extraordinaire, d'une extrême vulnérabilité ! Paradoxal n'est-ce pas. Mais tout cela n'engage que moi.
Nous sommes bien au-delà des considérations purement juridiques, d'entités juridiques ! Les "Stakeholders" sont, sans doute, plus importants, à bien des égards, que les actionnaires !

Oui. mon estimation du "timing" fut, donc, bonne à mon avis !The UK and US were cutting their defence budgets Saudi Arabia still had not signed BAE Systems single most important export deal and, worst of all, Eurofighter Typhoon had lost the battle to supply India with the single biggest international order of fighter jets ever.
It was with these worries that Ian King, chief executive of Europe’s largest defence company, in spring this year met Tom Enders, the man about to take the helm at EADS, the pan–European aerospace and defence company.
Oui !The two men, who had known each other for 20 years, were to discuss broad strategy and in particular what they should do about Eurofighter, the dysfunctional producer of Europe’s most expensive fighter jet that had yet to find an international buyer other than oil-rich Saudi Arabia. Together EADS and BAE own 70 per cent of the group.
It was Eurofighter’s crucial missed opportunity in India that focussed their minds. Both admitted it had been badly handled and that the programme needed a complete revamp.
Oui ! A mon avis, c'est précisément ça !But Mr King soon realised that both executives had come to a moment in their careers where they were ready to take some very bold steps. They could have a chance of achieving the long sought after consolidation of the European defence and aerospace industry to create a potential rival to the US’s Boeing.
“The moons are aligning and either you seize them or you don’t,” said one person close to the discussions, adding that sometimes there are changes in people and market conditions that mean “it’s now or never”.
Oui ! Mais ces écrits n'engagent que moi.One of the most crucial changes was in the political landscape of France, whose government owns 15 per cent of EADS.
Nicolas Sarkozy’s defeat in the French presidential elections removed a key ally for Dassault, BAE’s and EADS’s French rival whose Rafale fighter jet had beaten Typhoon in India. This presented at least a chance the new Socialist government would accept the idea of an EADS-BAE tie-up that left Dassault and Thales,another important French defence company, out in the cold.
Oui ! Il semble vouloir en finir avec le "franco-allemand" !Another important change was the arrival of Mr Enders, who took over EADS in June. People close to the deal say a tie-up could not have been done under Louis Gallois, the Frenchman who preceded him as chief executive of EADS. Unlike Mr Gallois, Mr Enders was willing to court controversy in order to finally rid EADS of the German and French political shackles that have muddied and delayed important business decisions and dictated executive appointments since EADS’s creation in 2000.

BAE had been in Mr Enders’ sight since 1998 when he tried but failed a takeover as head of Dasa.
Voilà !One person close to EADS said it was Mr Enders who raised the idea of the tie-up.

He sees strategy as a collection of opportunities such as these, one person close to Mr King said, noting: “There are always a series of events where you have to decide whether you go for it or not in development and strategy. It does not happen in a linear fashion.”
Oui . Je pense que c'est Intéressant, n'est-ce pas ?Mr King came to BAE when it took over Marconi in 1999 and was made chief executive three years ago. The seemingly unflappable accountant is credited with looking for steadier revenues and profits from servicing equipment and reducing BAE’s reliance on selling big platforms, which are a less reliable business, especially in downturns.
He also moved BAE further into the US – which he did in part with the money the company made from its 2006 decision to sell its 20 per cent minority stake in Airbus – and into cyber defence with the purchase of Detica.
But in the past two years the defence climate has turned sharply for the worse. After a decade of wars in Afghanistan and Iraq, the reality of the economic downturn has meant deep military budget cuts in Europe and a curtailment of US spending.

A voir ! Tout cela me paraît prématuré, mais pas inévitable !With one EADS executive claiming that the “stars are aligned” for a merger with BAE Systems, the absence of immediate political opposition from France, Germany and Britain suggest that he could be proved right.
Unions were cautious but were not all convinced that it would entail immediate and heavy job losses.

Je suis dans l'axe de la pertinence !And while a Berlin official insisted that its approval was “by no means a done deal”, people close to the EADS board said they believed that they had a reasonable chance of winning over the French and German governments, who each exercise control over a 22.5 per cent shareholding.
The UK, home to BAE, is broadly supportive of the deal, although the government has only issued a limited response.
Bien sûr !While Berlin has been in favour of reducing state involvement in EADS, the merger plans have set off alarm bells on the potential relocation of manufacturing.
Noté !However, senior labour representatives were more sanguine. IG Metall, the metal workers’ union, said it did not expect German factories to shut in the wake of the merger. “EADS and BAE have been working together for a long time and are already partners in a whole range of projects,” said Bernhard Stiedl, IG Metall’s top representative for EADS’s German plants.

Où est donc le Syndicalisme moderne ?France’s biggest EADS union, FO Métaux, said it wanted the French state to either “maintain or increase” its shareholding in the company, putting it in direct opposition to the ambitions of Tom Enders, chief executive.
"Aah ! L'approche !But it stressed that this was not because of “fear over jobs” but that it was more worried about knowing whether France would have the “capacity to block such and such decision”.

Ah, voilà ! Qu'en pensent nos Forumistes ?France was likely to demand a veto on big strategic investments, as it has in EADS to date, the person said. But he said the socialist government of President François Hollande would prove more amenable to the deal than his predecessor Nicolas Sarkozy, who was close to rival company Dassault. “It would have been totally impossible under the previous government,” the person said.

The French boss of Airbus, Fabrice Brégier, emailed employees to tell them the day-to-day operations would be unaffected at the Toulouse-headquartered company.
Peter Luff, who was a UK defence minister until last week, said there was a “strong commercial logic” for the deal but it was a complex agreement that would involve regulators in the US, Europe and the UK. “Britain will have to negotiate guarantees, it will be complex and the shape and complexity could bring the deal down,” he said.

The former minister said there could also be questions over research and development as this tended to cluster around a group’s corporate headquarters, which could now be outside the UK: “But they will cherish their crown jewels, which in this case are defence and aerospace design,” he said.

Comme j'aime à l'écrire !John Spellar, a former Labour defence minister, said the dynamics between the three countries could lead to the French losing their dominance over EADS and no longer being able to “keep everything in Toulouse”. “The other danger though is that the Berlin-Paris axis would mean political pressure at the expense of British manufacturing capability,” he warned.

The presence of French and German government ownership will impact the mitigation structures that will have to be in put in place to satisfy US regulatory concerns.”
Cela est vrai.EADS sells light utility helicopters to the US army, but is a much smaller scale supplier to the US military than BAE, which is involved in a wide range of equipment including electronic systems, communications, armoured vehicles and ammunition, as well as training and other services.

Guy Ben-Ari of the CSIS agrees that the US is likely to demand strict safeguards in the event of an EADS takeover.

Neal Dihora of Morningstar, the research company, says the problems of the troubled F-35 fighter programme have demonstrated the dangers of over-reliance on a few large suppliers.
Noté“The US government effectively has only one supplier of combat aircraft now – Lockheed – and can’t do anything about it,” he says.
BAE’s business, however, might be acceptable as a takeover target.

William Swanson, chairman and chief executive of Raytheon, said on Thursday he thought consolidation in the European defence industry could create opportunities for US suppliers, by forcing their competitors to focus on making deals work.
“I don’t want to impugn anybody, but (the EADS-BAE deal) will probably increase Raytheon’s market share. That’s the way we look at it.”

En lisant cet article, il ne faut pas que les âmes sensibles en France & / ou en Allemagne donnent dans la sensiblerie. Il ne faut pas s'étonner devant cette réaction, traitée par le FT. De toutes façons, on s'en moque. Tom ENDERS lui-même ne veut point de ça !

Certes mais ce type de mammouth n'est pas simple à gérer et de plus quid des impacts politiques ? Parfois les économies se diluent dans les déperditions liées à la taille.

Jeannot, .... ce ne sont pas les économies d'échelle accessibles qui se diluent dans des déperditions liées à la taille ! Cela n'est pas vrai.
Ce qui est vrai, c'est que les interférences politiques totalement indues, peuvent toujours casser le potentiel desdites économies d'échelle, et / ou détourner les énergies managériales des objectifs stratégiques et économiques / financiers.
C'est précisément pour cela que BAE met très en avant les conditions de non-interférence politique (et, croyez-moi, ... ce n'est pas le Gouvernement britannique -- aujourd'hui, le 'gouvernement anglais' n'existe pas et est une invention franco-française de certains ignares , qui auraient mieux fait de rechercher le terme et le concept, avant de causer -- qui lui a donné l'ordre de poser ses conditions. Pas de "hot-line" du genre (allégué, à tort ou à raison) ) CHIRAC-FORGEARD ! Ce genre de chose est à mettre à la poubelle !
Est-ce que les Français sont incapables d'intégrer le fait que, si :
- un certain Premier Ministre et son Ministre de l'Economie & des Finances (à l'époque), qui 'se sont invités dans le dossier SOGERMA et dans l'entreprise SOGERMA', s'y étaient pris de la même manière, dans une entrreprise éqyuivalent, ... ou n'importe quelle entreprise, ..... dans bon nombre de pays situés autour de la France, à 'quelques encâblures de Paris', .... ils auraient pu être poursuivis en justice quasi-immédiatement (06h00 le lendemain matin, .... ), et, dans un ou deux de ces pays l'auraient probablement été ;
- dans ces mêmes pays voisins de la France, un certain Ministre avait osé attaquer les dirigeants de PSA (ou équivalent) , notamment, certaines personnes de la famille Peugeot (ou éqiovalent, ....faisant des attaques 'ad hominem', donc), il n'eût pas pu le faire impunément, mais se serait trouvé devant les tribunaux, tout Ministre qu'il soit ?
Ce qui est illustré ci-dessus est tout simplement 'en dehors de la loi' ! / illégal !
Nul ne va dire que la France n'est pas une démocratie ! Cela serait absurde ! Mais il est des pratiques et comportements, que l'on observe et ' supporte' / subit en France, qui sont considérés commes anti-démocratiques, et qui sont absolument proscrits dans la vaste majorité des pays de l'UE ! J'ai travaillé dans des "Pays de l'Est", pendant des années, où ces comportements n'auraient pas été tolérés ! Les Ministres auraient eu de graves ennuis, y compris devant la Justice !
Ne voyez rien de politique dans ces remarques ! Ce sont des faits, enracines dans les systèmes juridiques et de Justice de ces Pays. Je les présente objectivement ! Et je choisis exprès un 'tandem' de Ministres d'un Gouvernement dit 'de Droite', et un Ministre d'un Gouvernement dit 'de Gauche' !
Mais, j'ai l'avis personnel que cette fusion projetée, aussi attractif qu'il soit, risque de tomber dans le lac !
Il n'y a personne sur la planète qui croie, aujourd'hui, la France capable de s'imposer la non-interférence politique, par exemple. Et personne ne croit, vraiment, que l'Allemagne puisse être confortable avec cette nouvelle 'perspective possible' ! Et tout le monde sait que le RU se ferait un plaisir énorme de pouvoir porter 'le manteau du politiquement incorrect' !
Vous savez, au RU : .... "Monsieur le Ministre, .. vous êtes aujourd'hui Ministre, .... mais vous n'êtes que Ministre" !

BAE Systems derives a significant chunk of its revenue from its US operations thanks to its acquisitions of Sanders and United Defense in 2000 and 2005 respectively. If regulators were to force a sale or separation of the US business then a major rationale for the merger disappears.
But if the deal goes ahead without significant sell-offs then it would create a truly global aerospace and defence giant, with a combined annual turnover of $95.8 billion, based on their 2011 figures, with around $74 billion generated by aerospace operations. By way of comparison, Boeing's 2011 turnover was $68.7 billion.

Voici une série de liens d'articles (et quelques extraits pertinents) du FT, depuis le posts ci-dessus.
Force est de reconnaître que le FT est le journal européen et international, avec "global reach" qui a le plus 'produit' sur le sujet depuis l'annonce.
Il serait faux, .. ridiculement faux, ... et absurde de voir dans la phrase qui précède la moindre tentative de faire l'éloge de "L'UNION JACK" ! On s'en fiche. Ce n'est point l'Union Jack qui compte ! Ce sont les faits.
Et un des faits 'clé' concernant les articles du FT (qui ne sont pas forcément tous bons ! ) est qu'il n'y a pas de tabou. Un autre est il n'y a pas de nombrilisme. Les journalistes ont tendance à connaître les faits, surtout dans leur domaine respectif de prédilection en matière de Défense, et du "Defence Business". Car c'est un business.
Et ils ne cherchent pas à faire plaisir aux Gouvernements du RU, quels qu'ils soient ! Et ils connaissent bien le poids de BAE par rapport à EADS, et aux composantes françaises et allemandes d'EADS. Ils n'ont pas la mémoire courte. Ils savent très bien pourquoi BAE s'est senti obligé d'acquérir Marconi. Ils savent qu'il s'agissait bien plus d'une opération défensive à l'époque, que d'une opération offensive, et surtout pas d'une opportunité pour faire cavalier seul contre le reste de l'UE !
Croire le dernier point relève du plus haut illettrisme sur le sujet !
Aussi, savoir comment évaluer une entreprise, et les parts des différents associés est une affaire de "hard-nosed businessmen who study & know the facts", et non pas de "misguided political ideas & opinions" !
Et cela est une des raisons pour lesquelles le projet de fusion de BAE-EADS pourrait tomber dans le lac !

If it is concerned enough about the French and German governments’ stakes in EADS, the US could even encourage an American company to step in with a bid for BAE.
Guy Ben-Ari, deputy director of the defence industries group at the CSIS, argues that such a move is unlikely, and that the US government will probably be satisfied with remedies short of that, including a restructuring of BAE’s US business to strengthen the “firewall” around its sensitive military technology.
However, he adds, given the extent of political influence over the defence industry, such an intervention in the proposed deal would not be impossible.
“When the Pentagon deems it necessary for the industry to change, it can influence private contractors to nudge the industry to move in its desired direction,” he said.

That is a mistake. The jewel in this combination would be Airbus. Over 40 years it has come from nowhere to rival [Vous devez être inscrit et connecté pour voir ce lien] in commercial aeroplanes. Airbus accounted for two-thirds of EADS’s first-half 2012 revenues of €25bn, and half of its earnings before interest and tax. It has an order book of €500bn and net cash of €10bn. Why would a business riding an upswing in civilian aircraft wish to merge with an ex-growth defence company?

A legitimate criticism of Airbus is that its financial performance has lagged behind its technological prowess. But Airbus looks to be overcoming those hurdles; EADS has targeted a 10 per cent margin across the company by 2015. That will require a fully focused management.
BAE’s margins are higher – it is guiding for between 8 per cent and 14 per cent across the group for 2012. But it has spent the past few years cutting back and huge US defence spending cuts make the next few years deeply uncertain.

Bringing EADS’s military divisions into the picture will give BAE a bit more heft but little extra earnings momentum. True, there is ample scope to squeeze out more profit – EADS’s Cassidian division has an ebit margin of just 4 per cent. But any gain will be, well, marginal.

BAE sold its 20 per cent stake in Airbus in 2006 for less than €3bn to fund its expansion in the US. The sale looks like a mistake: shares of EADS have outperformed by a third since then. BAE may see more value in Airbus now. The guys in Toulouse will have to reciprocate that feeling if this merger is going to work.
"Fair comment". Lex ne raconte pas de bobards. Mais les philosophes n'apprécient pas toujours son réalisme, et la manière dont il reste collé aux faits ! Mais là, il ne fait aucun cadeau au Management de BAE !

In a letter to the aerospace group’s employees, Mr Enders said the deal was essential for the “internationalisation” of EADS and would allow it to meet its plans for [Vous devez être inscrit et connecté pour voir ce lien], seven years earlier than the current 2020 target date.

"Let's wait & see" !Mr Enders said: “I strongly believe this deal represents what is called a ‘perfect fit’: it doesn’t add complexity, it provides opportunity.
“Despite some initial critical reactions, word will soon go around, that this deal makes good business sense.”

Warning on fallout from US defence cuts

Military contractors could force the cost of US defence equipment to rise sharply if a law cutting spending from January took force, the chairman of the US aerospace industry’s main trade group has warned, amid a campaign to avert the cuts.
David Hess, chairman of the Aerospace Industries Association, also told the Financial Times that the US defence department would struggle to administer the sudden cuts to hundreds of complex programmes.

Obstacles remain in BAE flight path

Mike Turner even speculated that BAE would eventually move its headquarters there.

Encouraged by its purchase of United Defense, maker of the Bradley armoured personnel carrier, a year earlier, he decided to use the Airbus proceeds to move deeper into the lucrative business of supplying the world’s most generously funded army in the middle of fighting two land wars.

But the deal would prove the worst and last big acquisition the company has made in the US. It would also hasten BAE’s return, almost exactly four years later, to EADS and Airbus.

Initially, the move into land vehicles and armour did not seem so bad. It propelled BAE to become the US’s fifth-largest military supplier, an unheard of feat for a foreign company. In turn, the US grew to account for as much as 53 per cent of BAE’s overall sales.
EADS et toute l'Europe furent étonnés, ... et jaloux ! Inutile de le nier. Mais les choses changent. BAE n'a pas eu la route facile ! Sa décision ne fut pas si brillante, sous tous les angles, du moins !
But the benefits were shortlived.
Oui, hélas.
In 2009 BAE was forced to write down £592m from Armor Holdings after losing two key US contracts and admitting prospects had dimmed. At 13 times earnings, BAE had paid far too much and come in too late.
Erreur ! BAE avaient gagné le premier contract, dans ce sens qu'Armor l'avait gagné, quand l'opération d'acquisition avait été entamé par BAE. Le contrat faisait parti du "deal", et fut réfléchi dans le prix payé. C'est le président OBAMA lui-même, qu l'a annulé, après l'acquisition d'Armor Holdings par BAE, et sans qu'il soit versé à BAE un centime de compensation. Exemple des comportements inacceptables d'un certain protectionnisme !
La France, qu'eût-elle fait, si un de ses champions industriels, dans l'hypothèse où ce dernier aurait investi massivement aux USA, avait subi le même sort ?
Dans le deuxième contrat, ... les dés furent yout simplement pipés, ... contre BAE !
“They were chasing the quick results, rather than the long d'un certain protecctionnisme term,” says Francis Tusa of Defence Analysis, adding: “There was no plan B.”
Il est facile d'écrire sottement ce genre de chose après l'événement,..... longtemps après l'événement. L'affaire d'Armor Holdingsd fut une excellente opportunité stratégique, valable et validée avant l'interférence politique, qui n'avait pas du dout été suggéré ou évoquée pendant l'opération, et surout pas avant le "closing", ... parce que tous les obstacles administratifs, 'secret défense', "anti-trust" etc. avait été franchis à la satisfaction de toutes les parties, ... sauf les caprices de la Maison Blanche, visiblement ! Dans cette affaire, il n'eût même pas pu être question d'un "Plan B" ! Quel "Plan B" ?
Francis TUSA écrit une bêtise ! Il ne connaît même pas les faits, et là, le FT n'a pas fait sa recherche !
BAE’s bet on the US led to much more than a [Vous devez être inscrit et connecté pour voir ce lien]: it encouraged a complete change in the company’s culture. The year BAE sold out of Airbus, Tony Blair, then UK prime minister, quashed an [Vous devez être inscrit et connecté pour voir ce lien] into allegations BAE had used bribery to try to secure the £40bn Al-Yamamah fighter jet export deal to Saudi Arabia.
BAE knew US authorities were not about to be as accommodating. In March 2010 BAE was sentenced to pay $400m after pleading guilty to deceiving the US government about its payments to middlemen, including those linked to Al-Yamamah.
Faux, ... (même si l'intervention de Tony BLAIR, dans la forme, ne fut pas des plus adroits ou raisonnables), comme nous l'avons dit ! Mais il n'y avait aucune autre possibilité dans le contexte américain, sauf celui d'accepter implicitement l'accusation en payant l'amende, si BAE voulait rester fournisseur en matière de Défense aux USA !
Et nous, soit ceux dont le travail couvrait ces aspects dans de tels contrats, savons que les 'révélations' / 'disclosures', faites par BAE, correspondent parfaitement à celles faites par des Compagnies américaines sur des contrats 'Défense' & / ou 'assimiliés Défense', après l'entrée en vigueur de 'la loi Carter', et là où cette loi pourrait 'toucher' les paiements légitimes aux intermédiaires ("middlemen"). Les exigences furent totalement respectées, et les écritures comptables réfléchissaient exactement ce que les Autorités américaines et les avocats américains compétents / spécialisés dans ces affaires, stipulaient à l'épqoue, en terme des libéllé, contenu (substance / fond), et divers aspects de la forme.
Le problème est que les Américains avaient perdu l'affaire face à BAE, et, en outre, un individu aurait bénéficié de largesses irrégulières, ... qui n'étaient nullement du fait de BAE (absolument pas sous son contrôle ! ) mais d'un intermédiaire maladroit, ... tout comme cela peut se passer, est s'est passé dans le cadre de contrats gagnés par des Compagnies américaines, dans divers pays, et pas seulment dans le domaine de la Défense !
A ce jour, BAE peut dresser la tête, et regarder toute les Autorités les yeux dans les yeux, .... en disant , "We did nothing wrong" ! Ce sont les Autorités américaines qui peuvent baisser les yeux ! Mais le risque du précédent qui a frappé BAE sera avec nous pendant longtemps !

He cleaned out the network of middlemen BAE had relied on for decades to sell arms and equipment around the world and forced the company to become more professional in the way it did business and measured its progress.
Oui, parce que, parfois, et trop souvent, paraît-il, il y avait bien trop de "sloppiness" / 'négligence', en général dans la forme ! BAE se serait souvent exposé le flanc, et, parfois, aurait peut-être eu la chance de ne pas avoir été sanctionné !
Erreur, malheureusement ! Ian KING s'est lourdement trompé !Ian King, an accountant from Marconi, with which BAE had merged in 2000, was promoted to replace Mike Turner as chief executive. He brought with him a background in the more predictable business of servicing military equipment, which had saved BAE when delays and cost overruns at its Nimrod patrol aircraft and Astute nuclear submarine programmes in the UK almost sank the company with multibillion-pound write-offs.
But as BAE navel gazed, (SEVRIEN : oui, ... il y a eu une période pendant laquelle BAE s'est trop regardé le nombril ; cela est indéniable !) the market began to turn against it. The economic downturn and the beginning of the end of the wars in Iraq and Afghanistan cut into defence budgets in Europe and the US. As governments debated the size of the cuts, paralysis set in outside and within BAE and the company’s share price reflected the uncertainty.
In 2010 the [Vous devez être inscrit et connecté pour voir ce lien] and the end of entire programmes, most notably Nimrod and Harrier, both within BAE’s defence aerospace portfolio. Mr King sought to reassure investors that all would be fine because it had moved to the US just in time.
Oui ! Bien évidemment !...... Talk in Washington quickly turned to getting the troops home from Afghanistan and curtailing the seemingly endless increases in military spending that had caused the world’s biggest defence budget to balloon by 70 per cent in a decade.
Worse for BAE, the deepest cuts were to come in army spending. Land war was history. BAE had become one of the world’s two largest suppliers of armoured vehicles just as the UK planned to slash its army, ..... and the US moved to contain China’s power, a strategy that would require aircraft carriers, frigates and fighter jets rather than armoured vehicles.
A noter.BAE has sought to counter the onslaught by aggressively reducing costs. It closed century-old factories, ..... and cut thousands of jobs over the past two years. Many analysts and even its competitors believe that, with the exception of Armor Holdings, BAE has done reasonably well, given its legacy, its customers’ demands and the downturn in the defence cycle.
“It has done what it could have done under the circumstances,” says Alberto de Benedictis, head of [Vous devez être inscrit et connecté pour voir ce lien] UK, BAE’s biggest competitor in the UK, adding: “Another European defence company could not have achieved what they achieved.”

It is a bitter change of fortune for BAE and one that has led directly to the proposed deal, in which BAE is playing the junior partner after having once been worth more than EADS.
Ce n'est pas de cette manière que Tom ENDERS contemple la situation ! Car il sait que c'est lui est allé proposer, ... et que la base-coûts de BAE est aujourd'hui bien mieux taillée & organisée que celle d'EADS (Airbus exclu).
La question est bien posée, et mérite d'être posée ! Les Actionnaires de BAE se la posent, à juste titre !The question now for shareholders is whether BAE is jumping back into the arms of EADS precisely at the wrong time – at the peak of the misery of defence cuts.
Nick Cunningham, analyst at Agency Partners, believes it is, noting: “We worry that BAE management despaired of ever getting a better share price and was fearful of the US outlook – leading it to throw in the towel at precisely the bottom of the defence sector valuation cycle.”

Boeing sort de sa position de "Mister COOL". Il réagit. Avec ses déboires sur les B787 et B747-8I? plus ses soucis avec la distraction qu'est le B737-MAX, et la difficulté d'étabilir le positionnement du successeur di B777-300ER, parmi les priorités, ....... Boeing also said it had started an internal assessment of the deal’s implications and would expect to participate in government and regulatory reviews of the deal.

“Boeing shares the concerns raised on both sides of the Atlantic this week that government and regulatory agency reviews of the proposed EADS-BAE merger must include a rigorous examination of a full range of complex industrial and national security considerations,” Boeing said.

Shares in Boeing have slipped 1.9 per cent since news of the potential tie-up became known last Wednesday.
The company would not comment for the moment on any concerns it might raise during formal reviews.
But it went on: “Boeing would expect to participate in the regulatory and security review process when permitted and appropriate.”
