Leur collaboration se renforce de jour en jour. Air China a annoncé le 27 août qu’elle et Cathay Pacific envisageaient
de lancer un joint-venture cargo dès cette année. Les discussions sont bien avancées mais pas closes : aucun calendrier n’a donc été présenté.

Les négociations encore en cours portent sur le développement à long terme de ce nouveau rapprochement entre les compagnies chinoise et hongkongaise. Si aucune précision n’a été apportée, le joint-venture devrait être basé à Shanghai.

Un tel projet avait déjà été envisagé en 2006 mais avait été abandonné. C’est à cette date que les deux compagnies avaient acquis des participations croisées dans le capital de chacune.

Air China vient de faire passer la sienne dans Cathay de 17,46% à 29,99% la semaine dernière, en acquerrant une partie des actions de Citic Pacific. Elle a à présent atteint sa participation maximale contractuelle dans sa partenaire de Hong-Kong et doit obtenir l’accord de l’actionnaire principal de Cathay, Swire, pour l’augmenter davantage.

Quelques précisions sur les accords et participations Air China / Cathay :

SHANGHAI/HONG KONG (Reuters) -

Air China will hold 51 percent of a cargo venture with Cathay Pacific which it hopes to finalize in the first half of next year, a Chinese airline executive said on Monday.

An industry newsletter sent to Reuters said the two carriers will provide 10 Boeing 747-400 freighters to their Shanghai-based venture which will take off before the Shanghai world expo in May 2010. It did not say where it got the information.

An Air China spokesman said discussions for the tie-up were on-going between the two carriers and no financial details, including the total investment of the venture nor size of its fleet, had been decided.

Air China in August bought a further 12.5 percent stake in Cathay, lifting its interest in the Hong Kong-based carrier to 29.99 percent.

The venture could give Air China and Cathay a foothold in Shanghai, a major air hub in the country, and help them better compete with China Eastern Airlines, which will have rough half of the Shanghai market after its planned merger with Shanghai Air.

Air China and Cathay Pacific Airways plan to launch to their cargo joint venture today or Friday, an industry insider told ATWOnline.

CA is expected to be the controlling stakeholder with a 51% stake while CX will hold the remainder.

The Beijing carrier plans to launch the venture based on the assets of its Air China Cargo subsidiary.

To prepare, it increased its stake in the cargo company to 100% with the CNY718 million ($105 million) purchase of Beijing Capital Airport Holding Co.'s 24% share last spring [Vous devez être inscrit et connecté pour voir ce lien].

Air China Cargo was launched in 2003 with registered capital of CNY2.2 billion.

It operates seven 747 freighters.

CX reportedly will provide an additional five or six 747Fs to the joint venture.

The Hong Kong carrier had 25 747Fs as of June 30, 2009, with a 26th operated by its Dragonair subsidiary.


The new joint venture will be based in Shanghai in an effort to tap the Yangtze River Delta that is one of China's most vibrant economic regions.

Shanghai Pudong ranked as the world's third-largest airport in traffic volume last year.

UPS and DHL both operate hubs there.

The European Commission has cleared under the EU Merger Regulation the acquisition by Cathay Pacific Airways of a stake of in Air China Cargo, currently a wholly-owned subsidiary of, Air China.

As a result the two companies will have joint control in the air cargo company.

The Commission concluded that the acquisition would not significantly impede effective competition in the European Economic Area (EEA) or any substantial part of it.

The transaction was notified to the Commission on 10 May 2010 because the turnover of the companies meets the thresholds set in the European Union's Merger Regulation.

Air China is an international airline, mainly active on the Chinese domestic air transport market, which also provides international air cargo transport between Europe and China through its subsidiary Air China Cargo and via Jade Cargo International, in which it has an indirect majority stake. Cathay Pacific is an international airline company based in Hong Kong.

Both Air China and Cathay Pacific are active in air cargo transport between Europe and China, mainly to and from the Pearl River Delta region, which encompasses Hong Kong, Shenzhen and Guangzhou, in southern China.

The Commission's assessment shows that the combined market share of Air China and Cathay Pacific on the relevant routes between Asia and the EEA is limited, as the routes they operate are, to a large extent, complementary.

Furthermore, the Commission's market investigation confirmed that competition on this market will remain strong after the transaction, notably due to the presence of many large international airline companies active on the same routes.

The Commission therefore concluded that the transaction would not raise competition concerns and granted
regulatory clearance for the EEA market.
