Oneworld carriers [Vous devez être inscrit et connecté pour voir ce lien] and Iberia have signed their formal merger agreement, following the tentative pact they forged last November.
The merger will create a new holding company, International Airlines Group, under which both carriers will retain their operations and brands.
BA and Iberia state that they expect the merger to be completed late this year.
The terms of the agreement are "consistent" with November's binding memorandum of understanding.
BA says the new group will operate a combined fleet of 408 aircraft, covering more than 200 destinations and transporting over 58 million passengers per year.
"It has been structured so that it can take advantage of further consolidation in the global aviation industry," it adds.

Spain's Iberia ([Vous devez être inscrit et connecté pour voir ce lien]) has exercised an option to buy five planes and sold them to British Airways ([Vous devez être inscrit et connecté pour voir ce lien]), a spokeswoman for the Spanish flag carrier said, in a sign that the merger partners are moving ever closer.
Iberia's shares were up as much as 2 percent on Friday, before flattening out, against an IBEX-35 index down 2.8 percent at 1143 GMT.
"The two had said that this was one of the areas where they could generate synergies," an analyst in Spain said.
BA and Iberia are hoping for around 400 million euros of annual synergies from their tie-up, which is due to be completed by the end of the year [ID:nLDE63707M].
A report in Spain's Expansion newspaper said the five Airbus A320 planes had a catalogue value of about 300 million dollars.
The planes originally formed part of Iberia's biggest ever fleet renovation deal, signed in 2005 with Airbus EADS.PA for 30 acquisitions and 49 options on aircraft for delivery to 2011.
British Airways declined to comment.

Iberia places A320 order on behalf of British Airways

Tout ça sera clarifié en temps voulu.Five [Vous devez être inscrit et connecté pour voir ce lien] A320s firmed as an order by Spanish flag-carrier Iberia last month after actually destined to be delivered to merger partner [Vous devez être inscrit et connecté pour voir ce lien].
The [Vous devez être inscrit et connecté pour voir ce lien] order, concluded on 3 May, was listed in Airbus' latest backlog figures, covering the first five months of 2010.
While it is attributed to Iberia, a spokeswoman for the airline states that the twin-jets have been ordered on BA's behalf.
C'est vrai."These aircraft were part of an Iberia option from 2005," she says. "We've bought them for BA."
Iberia ordered 30 A320-family jets in 2005 and placed options for another 49.
Iberia says it has yet to decide whether the aircraft will be transferred to BA through a sale, lease or other arrangement.
Oui !BA and Iberia are finalising a merger and last month estimated that current fleet commitments would account for 7% of the initial €250 million ($300 million) in cost synergies over the first five years of the tie-up.
A suivre !

To capitalize on traffic growth, Iberia is expanding operations to Latin America, but also is adding flights to the Middle East and some European destinations, strengthening both its long- and medium-haul operations.
Iberia says the network expansion announced June 11 is the largest single growth in city pairs in its history.
The Latin American market is already critical to Iberia and one of the big attractions for British Airways in its merger deal with the Spanish airline.
Cordoba in Argentina will be added to the network on Oct. 1, which Iberia says makes it the first European carrier to offer transatlantic operations there.
On the same day flights to San Salvador will commence (the flight from Madrid has a stopover in Guatemala, but not the return leg).
Later that month Madrid-Panama City operations will commence.
The latter two destinations will be operated using A340-300s.
Closer to home, Iberia will be using A319s to open routes to Amman, Jordan, on July 3 and Damascus, Syria, on July 13. The Jordan operation begins with two weekly return flights, while Syria is connected once per week.
On Sept. 16, twice weekly flights to Oran, Algeria, will commence, the second destination for Iberia in the North African country after Algiers.
Within Europe, St. Petersburg has this month already rejoined the network after falling off the previous winter season; Dubrovnik, Croatia, service will recommence on June 20 and flights to Zagreb will start July 3.

Iberia Friday reported second-quarter net income of €31 million ($39.4 million), reversed from a loss of €73 million in the year-ago quarter, a turnaround the airline attributed to the recovery of international markets, cost control and increased productivity.
The airline estimated the disruption to air travel owing to the volcanic ash-related EU airspace closures in April and May cost it about €20 million in lost revenue. It cancelled 883 flights during the airspace closures.
Operating revenue rose 10.2% to €1.18 billion while expenses lowered 2% to €1.13 billion. Recurring EBIT was €3 million compared to negative €130 million last year.
Traffic dipped 0.7% to 12.6 billion RPKs on a 2.2% increase in capacity to 15.3 billion ASKs, producing a load factor of 82.5%, up 1.3 points. Yield lifted 7.7% to €0.065 cents as RASK climbed 9.4% to €0.054 cents.
IB, which is planning to finalize its merger with British Airways by the year's end ([Vous devez être inscrit et connecté pour voir ce lien]), said it posted a €20.9 million net loss for the first six months of 2010, an 87.4% improvement over a €165 million deficit last year.
IB said in a statement, "The recovery in income was due largely to stronger demand in international markets, and especially in business traffic, but also to heightened sales efforts by the company. However, the domestic market remained in the doldrums."

The struggling Bahraini carrier Gulf Air is keen to join International Airlines Group, the new airline formed by the merger of British Airways (BA) and Spain’s Iberia.
The Bahraini airline has said it would “consider positively” any overture from the new company, which was to be headed by Willie Walsh, the chief executive of BA.
Mr Walsh said last week he had drawn up a list of 12 potential consolidation partners as he sought to chart a course to stability and profitability for BA, the embattled UK carrier that had fought competitors, high fuel prices, the global downturn and its own labour union in recent years.
None of the 12 airlines have been identified but many analysts pointed to east Asian and Latin American carriers as being at the top of Mr Walsh’s list.
But among the rumoured companies is the loss-making Gulf Air, which is looking to join an alliance to generate long-haul traffic as it cuts down its own network to focus more on the Middle East.
“Gulf Air has not been approached regarding this initiative. However, it is something the company would consider positively at the appropriate time,” a Gulf Air spokeswoman said.
“A central element of our long-term strategy is to join an alliance, and we are actively looking for a suitable partner to support Gulf Air’s business model and add value to the airline and vice versa.”

Cher Sevrien quels sont vos pronostics ?BA And Iberia Plan Big Joint Widebody Order
British Airways and its merger partner Iberia are preparing to begin advanced discussions with Airbus and Boeing early next year about a potentially huge joint order for widebody transports.
The two carriers, which recently launched their joint transatlantic business with Oneworld alliance partner American Airlines, should be formally united under the International Airlines Group umbrella by early next year. BA and Iberia both have a requirement for new large widebody twinjets from the second half of the decade, says BA Director-Strategy and Business Units Robert Boyle, who confirms that the merged airlines intend to place a joint order.
“We’re always talking to the manufacturers, but we’re now preparing to ramp up discussions in the new year about a joint order,” he says.
When BA signed its original order for 24 Boeing 787s and 12 Airbus A380s in 2007 to replace its 767-300ERs and part of its 747-400 fleet, respectively, it deferred its selection of a “big twin” 300-350-seat widebody to allow Airbus and Boeing to better define their offerings.
“We’re looking at the A350 and interested to see what Boeing can do with the 777. We’ve also got 787 options,” says Boyle.
Three years ago, BA’s requirement was to replace 37 of its 57 747-400s then in service and due for retirement around 2018. That fleet shrank slightly to 49 aircraft in the downturn as eight aircraft were parked, although BA is now reintroducing two. Iberia’s current long-haul widebody is the A340 quad, of which 36 are operated, including 19 -300s and 17 -600s.
BA and Iberia have identified annual cost savings of €400 million from year five of their merger through synergies, and this planned joint order could provide an important contribution to those efficiencies.

Bonsoir, chers tous.
-- le facteur commun sera que les deux privilégieront les moteurs Rolls-Royce ;
-- et Iberia et RR (et maintenant, BA, depuis la fusion avec Iberia) voudront maintenir une vraie base technique RR en Espagne ; depuis longtemps, il y a une telle base : chez Iberia, il y avait les B747 ”classic”, à motorisation RR RB-211-524, et les B757-200 avec les RR RB-211-535-E4 ; même si le MRO des A340-600 est effectué chez LH Technik (si tel est le cas, par exemple), les RR Trent 556 nécessitent une ‘facilité’ non négligeable pour RR, à Madrid ; car à partir de Madrid, ces A340-600 abattent un travail considérable ;
-- la récente Fusion entre BA & Iberia va militer dans ce sens, aussi, sans oublier l’aspect du triumvirat AA-BA-Iberia, … chaque partenaire ayant une forte composante RR dans sa flotte respective, même si les monocouloirs d’Airbus sont à moteurs CFM-56 dans le cas d’Iberia (et chez AA, sur ses B737), tandis que ceux de BA sont à motorisation IAE V2500 ;
-- les B777-200 / -200ER de BA et d’AA sont à moteurs RR Trent 892 & / ou 895 ;
-- BA a déjà commandé ses B787 avec des RR Trent 1000 ; si Iberia en commande, il fera probablement le même choix ;
-- aucun des deux ne prendra le B747-8I (BA l’a déjà refusé) ; BA pourra ajouter une commande supplémentaire d’A380 avec des moteurs RR Trent 900-EP ; Iberia pourrait passer des commandes groupées avec BA pour l’A380-800, … pour obtenir des conditions financières à l’acquisition et en MRO (entretien airframe etc.) optimisées ; il serait logique qu’Iberia, s’il commande l’A380, sélectionne les moteurs RR Trent 900-EP, aussi ;
-- la seule possibilité de voir le GEnx entrer dans les opérations, plutôt que dans la flotte,serait au travers d’opérations de fret, où tous les deux bâtiraient sur le schéma de BA, adopté pour l’utilisation des B747-8F ; BA n’est pas propriétaire de ces avions ;
-- chez BA, la commande ”stop-gap” de B777-300ER, lors d’un besoin de PUC, pour profiter des ”purchase rights” négociés entre Rod Eddington et Boeing, il y a longtemps, ne signifie pas un penchant chez BA vers les moteurs du type GE90-115B (surtout pas ! ) ;
-- on ne voit pas BA acheter de B777-300ER supplémentaires ; la Cie. pourrait en prendre encore en leasing, pour couvrir temporairement un besoin de PUC, dû, par exemple, aux livraisons retardées de certains appareils de ses autres commandes fermes ( B787);
-- BA commandera des A350-900, avec possibilité de conversions en la version -1000 ; Iberia pourrait faire de même, pour prolonger les rationalisations des acquisitions et stratégie de flotte, ainsi que les conditions financières optimisées là, et pour l’entretien (TotalCare pour les moteurs RR, et accords en entretien airframe, tant chez Boeing que chez Airbus, y compris les services connexes que les deux airframers insèrent dans leur ”package” respectif) ; l’un et l’autre pourrait commander quelques A350-XWB-1000 ;
-- BA regardera, dans la proposition de Boeing, l’éventuel remplacement du B777-300ER, mais comme un avion, avec une configuration cabine offrant 410-420 sièges en 3 classes std., selon normes modernes de confort spacieux, venant entre les A350-XWB (versions -900 & / ou -1000) et l’A380-800. Mais BA ne voudra pas d’une solution de simple ”revamping” ! Il faudrait un nouvel avion, ‘tout composite’ (aile en carbone, … avec ”classic”, high-lift capability), et sans aucune exclusivité-moteur GE ; un tel appareil pourrait remplacer ses B747-400 ;
-- Iberia n’a jamais aimé les gros-porteurs à deux moteurs ; cette Cie. ne regrette absolument pas d’avoir pris les A340-600 au lieu des B777-300ER ; bien sûr, il se peut qu’il change d’avis, compte tenu des flottes de ses partenaires, BA & AA ;
il reconnaît volontiers que l’A350-XWB-1000 sera un excellent remplaçant de l’A340-600 ;

:roll:

Iberia A340 replacement is initial focus of IAG’s fleet renewal plan
Newly formed International Airlines Group (IAG) - parent of [Vous devez être inscrit et connecté pour voir ce lien] and Iberia - is making the replacement of the Spanish carrier's [Vous devez être inscrit et connecté pour voir ce lien] A340s a priority ahead of a broader long-haul fleet-renewal exercise that will also encompass the needs of BA.
IAG chief executive Willie Walsh says that there is the opportunity to replace Iberia's A340s with more efficient aircraft that are already available, ahead of the introduction of new-generation types that are being evaluated for the wider requirement.
Both airlines have been looking at fleet renewal and growth options for their long-haul aircraft, and Walsh says that this will be co-ordinated by IAG, making use of its stronger buying power resulting from the merger. "The two airlines were always relevant to Airbus, [Vous devez être inscrit et connecté pour voir ce lien] and the engine manufacturers, but we've become much more relevant through the merger," he says.
Between them BA and Iberia operate more than 160 widebodies, but there is no commonality between the two fleets. Iberia has 36 A340s (19 -300s and 17 -600s) while BA flies a mix of 127 Boeings - 57 747-400s (including seven parked), 21 767-300ERs and 49 777s (46 -200/200ERs and three -300ERs). Iberia's [Vous devez être inscrit et connecté pour voir ce lien]-300s are between nine and 19 years old, whereas the -600s are relatively young, having been delivered between 2003 and 2010.
Walsh told Flight International sister publication Airline Business that the Spanish arm's needs would be addressed first: "In the short term our focus will be on the Iberia fleet-replacement programme, because there's a clear opportunity with existing aircraft to get significant cost savings, particularly with oil heading towards $100 a barrel," he said.
"There are discussions going on with Airbus and Boeing. With Iberia we have the option of a transitional fleet arrangement while waiting for the new-generation aircraft - 787s or A350s."
BA finalised the first part of its long-haul fleet replacement plan in 2007, ordering 24 Boeing 787s and 12 Airbus A380s to replace its 767-300ERs and part of its [Vous devez être inscrit et connecté pour voir ce lien] fleet, respectively. At that time it deferred its selection of a "big twin" 300- to 350-seat widebody to allow Airbus and Boeing to better define their offerings.

BA-Iberia scraps two 747-400s
International Airlines Group, the merged entity comprising British Airways and Iberia, is scrapping two Boeing 747-400 aircraft.
It reveals the decision in its first financial statement since the tie-up was completed last month.
IAG says it is taking a charge of €19 million ($26 million) against the two aircraft in the quarter to 31 December.
Le bon sens de la consolidation se met en route !In year covering 1 January to 31 December 2010 the carriers posted a combined operating profit of €225 million.
IAG's fourth-quarter operating profit would have been €196 million, it says, but for weather and air traffic control disruption - which reduced revenues by €71 million - and a number of non-recurring items, including the 747 charges.
These brought the quarterly operating profit down to just €6 million, although the figure was an improvement on the €114 million loss in 2009.

IAG (BA & Iberia) mettent rapidement en place les aspects opérationnels et de rationailsation, qu'ils avaient, visiblement, réfléchi mûrement avant de finaliser leur fusion !British Airways and Iberia will combine their cargo business and network into a single business unit reporting to International Airlines Group although both cargo operations will retain their current brands, the carriers and IAG announced last week. There will be a small cargo management team within IAG, while all other cargo employees will continue to work for their current airline. The combined business will be led by MD Steve Gunning and Deputy MD Ignacio Diez Barturen. They were previously managing directors of BA World Cargo and Iberia Cargo, respectively.

American Airlines ordered five Boeing 777s in Q1
American Airlines exercised rights to buy five Boeing 777s in the first quarter, the company reported Wednesday.

A suivre.

Roberto a écrit:Bonjour,
Mes yeux ne sont pas superbes, mais :
Le 19 de janvier 2011, AA a exercé deux options sur B 777-300ER
- Annonce AA même date. Livraison prévue fin 2012 ( "earning conference" Wednesday January 19, 2011. )

- A318 : 2 (moteurs : CFM-56) ;
- A319 : 33 (moteurs : tous IAE V2500) ;
- A320 : 44 (moteurs : 40 x IAE V2500 ; 4 x CFM-56, "héritage" A320-100 de B-CAL) ;
- A321 : 11 (moteurs : tous IAE V2500).
